Please read these terms before using our website. By using it, you agree to them. If you do not agree, please do not use the website.

1. Who we are

This website, www.theseismicsolution.com .

The Seismic Solution, is operated by TESSELLITE Ltd ("we", "us", "our"), a company registered in England and Wales under company number 17213296, with its registered office at 71-75, Shelton Street Covent Garden, London WC2H9JQ

Contact us at: info@theseismicsolution.com

We are an early-stage business developing an activewear brand. Our products and plans are still in development.

2. What this Website is (and is not)

2.1 The Website provides information about our brand, products in development, community activations and events, and how to contact us or register interest.

2.2 We do not currently sell products to consumers through the Website. Nothing on the Website is an offer to sell, and no contract for the sale of goods is formed by browsing, joining a waitlist, or contacting us.

2.3 Where our products are, or become, available through third parties (for example retail partners, stockists, pop-ups or marketplaces), your purchase will be a contract between you and that seller and will be governed by their terms, returns policy and statutory consumer rights. We are not a party to that contract unless we say so expressly.

2.4 If we later launch direct online sales, we will publish separate terms of sale before taking any orders.

Those terms will apply to purchases, and these terms will continue to apply to your use of the Website.

3. Using the Website

3.1 You may use the Website for lawful purposes only. You must not misuse it, including by introducing viruses or malicious code, attempting unauthorized access, scraping or harvesting data, or using it in breach of any law.

3.2 We may update, suspend or withdraw the Website or any part of it at any time. We do not guarantee it will always be available or error-free.

3.3 If you are under 18, please use the Website only with the involvement of a parent or guardian.

4. Early-stage information and no guarantees

4.1 Information on the Website about products, designs, materials, performance features, pricing, launch dates, stockists, and future plans is indicative only. It reflects our current intentions, may change without notice, and may be inaccurate or incomplete. Images may show prototypes or samples that differ from final products.

4.2 We do not guarantee that any product will be launched, that it will be launched on any particular timeline or in any particular form, or that it will be available in your location.

4.3 Statements about the future are our current expectations only and are not promises.

5. Not an investment offer

5.1 Nothing on the Website is an offer, invitation or inducement to invest in, or to buy or sell shares or other securities in, Tessellite Ltd or any other company, and nothing here is financial advice or a financial promotion.

5.2 Any discussion of investment is conducted separately, privately, and only with persons permitted by law to receive such communications. Please do not rely on anything on the Website when making an investment decision.

6. Waitlist, sign-ups and communications

6.1 Joining a waitlist or registering interest does not guarantee access to any product, offer, event, discount, or early-access opportunity, and does not oblige you or us to enter into any purchase.

6.2 We will send you marketing emails or messages only if you have opted in, and you can unsubscribe at any time using the link in any message or by contacting us. See our Privacy Policy for how we use your data.

6.3 Any early-access, founder or launch perks we mention are offered at our discretion, may be changed or withdrawn, and have no cash value.

7. Events, community activations and sampling

7.1 From time to time we run or take part in events, community sessions, pop-ups, product trials, sampling and similar activations ("Activations"). These terms apply to your use of the Website and sign-ups for Activations; specific Activations may have additional terms, which we will make available when you register or at the event.

7.2 Registration. Places may be limited. Registration does not guarantee a place, and we may cancel, postpone, move or change an Activation (for example for safety, weather, venue or low numbers). If we cancel an Activation you have registered for, we will tell you as soon as reasonably practicable. [Where any fee has been paid, we will refund it.]

7.3 Health and safety. Activations may involve physical exercise. You take part voluntarily. You are responsible for deciding whether you are fit to take part, for telling the organisers about relevant health conditions or injuries, and for following instructions from organisers, instructors and venue staff. Please do not take part if you are unwell or injured, or if you have been advised not to exercise. Nothing we say or publish is medical advice.

7.4 Age. Unless stated otherwise, Activations are for participants aged 18 or over. Where under-18s are permitted, a parent or guardian must give consent and, where we require it, attend.

7.5 Photography and filming. We or our partners may photograph or film at Activations for use in our marketing and social media. We will tell you at registration or on arrival (for example through signage), and you can ask not to be photographed or to opt out of identifiable images by telling a member of the team. See our Privacy Policy.

7.6 Product trials and sampling. Items provided for trial or sampling are given for your personal, non-commercial use, may be prototypes or samples, and are provided on an "as is" basis. Please check materials and care labels and do not use any item if you have a known sensitivity or allergy to its materials. Tell us promptly if you experience any problem. We may ask for your feedback, which you are free to give or decline.

7.7 Competitions and giveaways. Any competition, prize draw or giveaway will be run under its own published rules. Entry is free unless stated, and a prize draw is not a guarantee of any prize. We do not run competitions on the basis of payment unless the law permits.

7.8 Conduct. We may remove any person from an Activation whose behavior is unsafe, unlawful or disrespectful, without refund where a fee has been paid.

7.9 Partners and venues. Activations may be run with venue owners or partner brands. Their rules, and any liability they have, are separate from ours.

8. Trade and partnership enquiries

8.1 If you are a retailer, stockist, partner, sponsor, supplier or other business contacting us through the Website, any resulting relationship will be governed only by a separate written agreement signed by us. Enquiries, discussions, samples, price indications or proposals are not binding on us until that agreement is signed.

8.2 Please do not send us confidential information through the Website or by email unless we have agreed a confidentiality arrangement. We may develop ideas that are similar to ones you share, and we have no obligation to keep unsolicited material confidential or to pay for it.

9. Intellectual property

9.1 All content on the Website, including our name, logo, designs, product concepts, text, images, graphics and software, belongs to us or our licensors and is protected by intellectual property laws. All rights are reserved.

9.2 You may view and print pages for your personal, non-commercial use. You must not copy, reproduce, modify, distribute or commercially exploit any content without our written permission.

9.3 You must not use our name, logo, or imagery in a way that suggests endorsement of, or affiliation with, you or a third party without our written consent.

10. Feedback, user content and social media

10.1 If you send us feedback, ideas or suggestions about our brand or products (including through surveys, Activations, or social media), you agree that we may use them freely without payment or credit to you.

10.2 If you submit content to us (photos, comments, or content that tags or mentions us on social media), you confirm you own it or have the right to share it, and that it is lawful, accurate, and does not infringe anyone's rights.

10.3 You grant us a free, worldwide, non-exclusive licence to use, display and reproduce that content in connection with promoting our business, with credit where reasonably practicable. You keep ownership, and you may ask us to remove it at any time (subject to technical practicality for content already published).

10.4 We may remove any content at our discretion.

11. Third-party links and services

The Website may link to third-party sites or use third-party services (for example email, analytics, ticketing or social platforms). We do not control them and are not responsible for their content, policies or practices.

12. Our liability

12.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law. Nothing in these terms affects your statutory rights as a consumer.

12.2 The Website and its content are provided "as is" and for general information. Subject to 12.1, we are not liable for loss arising from your reliance on information on the Website about products, plans or timelines in development, or for losses that were not reasonably foreseeable.

12.3 Subject to 12.1, we are not liable for business losses (loss of profit, revenue, goodwill or opportunity) arising from your use of the Website.

12.4 We are not responsible for Website downtime or errors, or for loss caused by viruses or other technologically harmful material, so far as the law allows.

12.5 Liability for Activations is subject to section 7 and 12.1. We do not exclude liability for injury caused by our negligence.

13. Events outside our control

We are not in breach of these terms and are not liable for any delay or failure caused by events beyond our reasonable control, including supplier or manufacturing disruption, venue or partner cancellation, severe weather, strikes, illness, pandemic, or failure of internet or other services.

14. Privacy and cookies

We handle personal data in line with our Privacy Policy and Cookie Policy, and with UK GDPR and the Data Protection Act 2018.

15. Changes to these terms

We may update these terms from time to time by posting the new version on the Website with a new "last updated" date. The version in force when you use the Website applies. Because our business is developing, we expect these terms to change, particularly when we begin selling products.

16. General

16.1 Entire agreement: these terms, with any Activation-specific terms, form the whole agreement between us about your use of the Website.

16.2 Severability: if any provision is found unenforceable, the rest remains in effect.

16.3 No waiver: failing to enforce a right is not a waiver of it.

16.4 Assignment: we may transfer our rights and obligations to another organisation (for example on a sale or restructuring of the business). This will not affect your rights. You may not transfer yours without our consent.

16.5 Third parties: no one other than you and us has rights to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

17. Complaints and governing law

17.1 If you have a complaint, please contact us at info@theseismicsolution.com  first. We will aim to respond within [5] working days.

17.2 These terms, and any dispute arising from them or your use of the Website, are governed by the laws of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction. If you live in Scotland or Northern Ireland, you may also bring proceedings in your local courts. As a consumer, you keep the benefit of any mandatory protections of the law of the country where you live.
